These Terms & Conditions (“Terms”) govern access to and use of nftix.com and other NFTIX-operated websites, NFTIX ticketing and event services, Festival Apps, embedded widgets, the Festival App Connector, and related products and services (collectively, the “Services”).
“NFTIX,” “we,” “us,” and “our” refer to PLANPILOT LLC, which operates NFTIX.COM. “Client” means an event organizer, promoter, venue, business, or other organization that uses the Services. “User” and “you” include website visitors, ticket purchasers, attendees, Client administrators, and others who access or use the Services.
By accessing or using the Services, purchasing a ticket, connecting an account, or accepting these Terms electronically, you agree to these Terms. If you use the Services for a Client, you represent that you have authority to bind that Client.
1. Additional and Event-Specific Terms
An event, ticket, Client website, payment processor, venue, integration, or third-party service may have additional terms, policies, rules, waivers, or notices. Event-specific purchase terms and venue rules apply in addition to these Terms. If an event-specific term directly conflicts with these general Terms, the event-specific term controls for that event unless prohibited by law.
Our Privacy Policy explains how NFTIX processes information and is incorporated into these Terms by reference.
2. Eligibility and Authority
You must be legally capable of entering a binding agreement to use the Services or make a purchase. If you use the Services for an organization, connect a Facebook Page or Instagram Professional account, configure a Festival App, publish Client content, or administer a widget, you represent and warrant that:
- the information you provide is accurate and current;
- you have authority to act for the organization and control the relevant website, Page, account, content, and assets;
- you have obtained all required permissions, licenses, notices, and consents; and
- your use complies with law, event rules, platform terms, and these Terms.
3. Accounts, Credentials, and Security
You are responsible for safeguarding your account credentials, devices, administrator access, and connected third-party accounts. You must promptly notify NFTIX of suspected unauthorized use.
You may not share credentials with an unauthorized person, attempt to obtain another person’s credentials, expose access tokens or application secrets, or bypass security controls. NFTIX may require identity, account, domain, or authority verification before providing access or support.
4. Limited License to Use the Services
Subject to these Terms, NFTIX grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for their intended purpose.
Except where applicable law prohibits a restriction, you may not:
- copy, modify, sell, rent, sublicense, distribute, or commercially exploit the Services except as expressly authorized;
- reverse engineer, decompile, or attempt to derive source code except to the limited extent such restriction is prohibited by law or an applicable open-source license;
- circumvent access controls, rate limits, authentication, or technical restrictions;
- use scraping, bots, or unauthorized automated collection against NFTIX, Meta, Client sites, or third-party services;
- introduce malicious code or interfere with availability, integrity, or security;
- use the Services to violate law, privacy, publicity, intellectual-property, consumer-protection, ticketing, anti-spam, or platform rules; or
- misrepresent affiliation with NFTIX, Meta, an event, artist, venue, or Client.
5. Festival Apps and Embedded Widgets
NFTIX may provide calendar, schedule, lineup, background, FAQ, gallery, weather, map, information, and other apps or widgets for use on Client-controlled websites.
Clients are responsible for:
- the accuracy, legality, accessibility, and timeliness of Client content;
- publishing appropriate privacy notices, cookie disclosures, terms, event rules, and consent tools;
- ensuring they have rights to all names, marks, photos, videos, music, schedules, lineup data, FAQs, maps, backgrounds, and other materials they provide;
- configuring links, event times, locations, refund rules, safety notices, and other information correctly;
- maintaining their WordPress site, hosting, security, backups, administrators, and software updates;
- responding to end-user privacy, content, accessibility, and support requests within the Client’s control; and
- using third-party APIs and content under valid licenses and plans.
Some Festival Apps use local storage, session storage, service workers, offline caching, first-party analytics, or third-party data sources. A Client must provide any notice or consent required for those technologies on the Client’s site.
NFTIX may update, replace, restrict, or discontinue a widget or integration when reasonably necessary for security, compatibility, legal compliance, platform requirements, or product development.
6. Festival App Connector and Meta Integrations
The Festival App Connector allows an authorized Client to connect an Instagram Professional account and associated Facebook Page through Meta’s authorization tools. Use of Meta, Facebook, and Instagram is also governed by Meta’s applicable terms and policies.
By initiating a connection, you:
- authorize NFTIX to process the account identifiers, Page information, encrypted access tokens, and public or account-owned media information necessary to provide the selected feature;
- represent that the connecting person is authorized to grant access to the selected business, Page, and Instagram account;
- authorize NFTIX to retrieve, temporarily cache, sanitize, and display media and related information made available by Meta’s authorized APIs;
- acknowledge that Meta may change permissions, review requirements, APIs, quotas, fields, access levels, or product availability at any time; and
- agree that NFTIX may suspend or disconnect an integration when necessary for security, legal compliance, abuse prevention, account changes, excessive usage, or Meta policy compliance.
NFTIX does not request ownership of a connected account or its content. NFTIX is not Meta and does not control Meta login, account eligibility, Page roles, API review, outages, content availability, moderation, or account enforcement.
You may disconnect an integration through the applicable Festival App settings or revoke it through Meta. Disconnecting may remove active credentials and stop future retrieval, but content already stored in Client pages, logs, browser caches, backups, or other systems may be subject to separate retention.
7. Client Content and Permissions
“Client Content” includes event information, schedules, lineups, FAQs, marks, text, images, video, backgrounds, links, map information, social-media selections, and other materials supplied or selected by a Client.
Clients retain their rights in Client Content. A Client grants NFTIX a worldwide, non-exclusive, royalty-free license to host, reproduce, format, cache, transmit, display, and otherwise process Client Content solely as reasonably necessary to provide, secure, support, demonstrate, and improve the Services and comply with law.
Each Client represents and warrants that it has all rights and authority required for NFTIX to process Client Content as described. A Client must not direct NFTIX to use content that is unlawful, infringing, defamatory, deceptive, harmful, private without authorization, or inconsistent with platform rules.
8. Public, Hashtagged, and Social-Media Content
Festival galleries may display public content selected through a hashtag or another authorized source. Public availability does not eliminate copyright, trademark, privacy, publicity, or other rights.
The Client selecting the hashtag or content source is responsible for:
- determining whether it has a valid basis and necessary rights to display the content;
- publishing submission, promotion, or campaign rules where appropriate;
- moderating the gallery and responding to takedown or removal requests;
- avoiding misleading endorsement or sponsorship implications; and
- complying with Meta’s terms and applicable law.
NFTIX may remove or stop displaying content when we reasonably believe it violates law, rights, these Terms, platform rules, security requirements, or a valid request. NFTIX does not endorse and is not responsible for statements, conduct, or content of social-media users.
9. Ticket Orders and Payment
Ticket availability, prices, fees, taxes, delivery methods, age requirements, quantities, and event policies are established by NFTIX, the applicable Client, or both.
You agree to:
- provide accurate billing, contact, and order information;
- review the event, date, time, venue, quantity, ticket type, restrictions, and total price before purchase;
- pay all displayed charges and applicable taxes;
- use a payment method you are authorized to use; and
- not use fraud, bots, circumvention, duplicate identities, unauthorized resale methods, or chargeback abuse.
An order acknowledgement does not guarantee acceptance. NFTIX or the applicable Client may reject, limit, or cancel an order for suspected fraud, pricing or inventory errors, prohibited resale, duplicate transactions, technical errors, legal requirements, or violation of these Terms. If a paid order is cancelled before fulfillment for one of these reasons, the appropriate amount will be refunded unless the transaction was fraudulent or law permits withholding.
Payments may be processed by third parties. Their terms and privacy policies apply to their services.
10. Ticket License, Transfer, Resale, and Entry
A ticket is a limited, revocable license to attend the specified event, subject to these Terms, event-specific terms, and venue rules. It is not a guarantee of admission regardless of conduct or compliance.
Tickets may be nontransferable or subject to transfer and resale restrictions. Tickets obtained from unauthorized sources, duplicated, altered, counterfeited, resold in violation of law or event rules, or associated with fraud may be cancelled without admission, refund, or support to the fullest extent permitted by law.
Admission may require a valid ticket, matching identification, age verification, security screening, and compliance with prohibited-item, conduct, accessibility, health, safety, and venue policies. An organizer or venue may deny entry or remove an attendee who violates applicable requirements or creates a safety risk, without refund where permitted by law.
11. Refunds, Postponements, and Cancellations
Except where required by law or expressly stated in event-specific purchase terms, ticket sales are final and are not eligible for refunds, exchanges, credits, or cancellations based on personal circumstances, travel or lodging issues, weather, dissatisfaction, illness, scheduling conflicts, lineup changes, or failure to attend.
If an event is fully cancelled and not postponed or rescheduled, NFTIX will ordinarily issue an automatic refund of the base ticket price to the original payment method after receiving and confirming the official cancellation notice. Unless otherwise required by law or stated at purchase, service, processing, delivery, convenience, merchant, and similar fees are non-refundable.
If an event is postponed, relocated, or rescheduled, tickets will ordinarily remain valid for the replacement event and will not be eligible for a refund unless the event-specific policy or applicable law provides otherwise.
NFTIX generally initiates an eligible cancellation refund within 5–10 business days after the official cancellation notice is confirmed. The time for funds to appear depends on the organizer, payment processor, financial institution, and applicable law, so this estimate is not a guarantee. Refunds are generally issued to the original payment method unless another method is required or agreed.
Nothing in these Terms limits a refund, cancellation, or other consumer right that cannot lawfully be waived.
12. Event Changes and Information
Dates, times, venues, entrances, schedules, performers, lineups, seating, capacity, programming, policies, amenities, age restrictions, accessibility information, transportation information, weather plans, and safety requirements may change.
NFTIX may display information supplied by Clients, organizers, venues, artists, vendors, or public sources. NFTIX does not guarantee that event information is complete, current, or error-free. Users are responsible for reviewing the latest official event and venue information before purchase, travel, and attendance.
A performer substitution, schedule adjustment, supporting-act change, shortened appearance, weather modification, or similar change does not constitute cancellation unless the applicable event policy or law states otherwise.
13. Attendance and Assumption of Risk
Live events involve inherent and other risks, including crowds, weather, heat, cold, uneven surfaces, loud sound, flashing or strobe lighting, pyrotechnics, alcohol, communicable illness, transportation, equipment, the actions of others, and the risk of personal injury, death, theft, or property damage.
To the fullest extent permitted by law, you voluntarily assume risks inherent in or reasonably associated with attendance. You are responsible for evaluating your health, accessibility, transportation, and safety needs; following event and venue instructions; supervising minors in your care; and obtaining professional advice where appropriate.
Nothing in these Terms excludes responsibility that cannot legally be excluded, including liability that applicable law imposes for certain intentional, reckless, grossly negligent, or other prohibited conduct.
14. Third-Party Services, Content, and Links
The Services may contain information, media, embeds, APIs, links, or functionality provided by Clients, organizers, venues, artists, Meta, Open-Meteo, payment processors, mapping providers, hosting providers, or other third parties.
Third-party products and services are governed by their own terms and policies. NFTIX does not control and does not warrant their content, security, availability, accuracy, legality, or performance. Accessing or transacting with a third party is at your own risk.
15. Intellectual Property
The Services, software, design, code, documentation, branding, and NFTIX-created content are owned by NFTIX or its licensors and are protected by intellectual-property laws. These Terms do not transfer ownership.
NFTIX, Client, event, artist, venue, Meta, Instagram, Facebook, and other names and marks belong to their respective owners. You may not use another party’s marks in a manner likely to cause confusion about affiliation, endorsement, or sponsorship.
Feedback you voluntarily provide may be used by NFTIX without restriction or compensation, provided NFTIX does not identify you publicly without permission.
16. Privacy
Our Privacy Policy describes NFTIX’s information practices. Clients and third parties may have separate privacy notices. By using the Services, you acknowledge that information will be processed as described in the applicable notices.
Clients are responsible for providing legally sufficient privacy and cookie notices for Client-controlled sites, Festival Apps, widgets, analytics, and events.
17. Service Availability and Changes
The Services may experience maintenance, delays, outages, incompatibilities, errors, data-source interruptions, API changes, cyberattacks, hosting failures, or events beyond NFTIX’s control.
NFTIX may change or discontinue features, impose limits, update requirements, or suspend access. Where commercially reasonable, NFTIX will attempt to provide advance notice of material discontinuation affecting paying Clients, but emergency security, legal, or third-party platform changes may require immediate action.
Offline and installable Festival App features do not guarantee that all pages, media, maps, embeds, transactions, or updates will work without an internet connection.
18. Suspension and Termination
NFTIX may restrict, suspend, or terminate access when reasonably necessary because of:
- breach of these Terms or applicable law;
- fraud, chargeback abuse, prohibited resale, or security risk;
- unauthorized access or misuse;
- infringement or rights complaints;
- nonpayment;
- excessive or abusive traffic;
- Client request or termination of the Client relationship;
- Meta or another provider changing or revoking access; or
- legal, regulatory, safety, or platform requirements.
Upon termination, your right to use the affected Services ends. Provisions that by their nature should survive—including payment obligations, licenses necessary for retained records, disclaimers, liability limitations, indemnification, dispute terms, and intellectual-property provisions—will survive.
19. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, TICKETS, WIDGETS, INTEGRATIONS, CONTENT, AND EVENT INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
NFTIX DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, UPTIME, AND ERROR-FREE OPERATION.
NFTIX DOES NOT GUARANTEE:
- THE ACCURACY OR COMPLETENESS OF CLIENT, EVENT, VENUE, ARTIST, WEATHER, MAP, SOCIAL-MEDIA, OR THIRD-PARTY INFORMATION;
- ANY PARTICULAR EVENT EXPERIENCE, LINEUP, PERFORMANCE, DURATION, SEAT, VIEW, AMENITY, WEATHER CONDITION, OR OUTCOME;
- THAT A THIRD-PARTY PLATFORM, API, ACCOUNT, EMBED, PAYMENT SERVICE, OR WEBSITE WILL REMAIN AVAILABLE; OR
- THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR FREE OF DEFECTS OR HARMFUL COMPONENTS.
Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
20. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NFTIX AND ITS OWNERS, AFFILIATES, PERSONNEL, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; TRAVEL OR LODGING COSTS; OR LOSSES ARISING FROM SERVICE INTERRUPTION, EVENT CHANGES, THIRD-PARTY CONDUCT, OR RELIANCE ON CONTENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, NFTIX’S TOTAL AGGREGATE LIABILITY ARISING FROM A CLAIM WILL NOT EXCEED THE GREATER OF:
- THE AMOUNT PAID DIRECTLY TO NFTIX FOR THE SPECIFIC TICKET, TRANSACTION, OR SERVICE GIVING RISE TO THE CLAIM; OR
- ONE HUNDRED U.S. DOLLARS (US $100).
THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. THEY DO NOT APPLY TO LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
Event organizers, promoters, venues, payment processors, and other third parties are responsible for their own conduct and obligations. Nothing in these Terms creates liability for NFTIX based solely on another party’s conduct where such liability would not otherwise exist.
21. Indemnification
To the fullest extent permitted by law, a Client and any User acting for a business will defend, indemnify, and hold harmless NFTIX and its owners, affiliates, personnel, contractors, and licensors from third-party claims, damages, judgments, penalties, losses, and reasonable legal fees arising from:
- Client Content, event operations, or the Client’s products and services;
- lack of authority, rights, licenses, notices, or consents;
- misuse of a connected account, Festival App, widget, ticket, or integration;
- violation of law, platform terms, venue rules, or these Terms; or
- fraud, infringement, privacy violations, or harmful conduct by the indemnifying party.
This section does not require an individual consumer to indemnify NFTIX where prohibited by law.
22. Force Majeure
NFTIX is not liable for delay, interruption, change, or failure caused by circumstances beyond its reasonable control, including severe weather, natural disaster, epidemic or public-health emergency, government action, war, terrorism, civil unrest, labor dispute, utility or telecommunications failure, venue damage, transportation disruption, supplier failure, cyberattack, equipment failure, or third-party platform outage.
Event cancellation and refund rights remain subject to Section 11, event-specific terms, and applicable law.
23. Dispute Resolution and Arbitration
Before filing a claim, you and NFTIX agree to attempt in good faith to resolve the dispute informally. A written notice must describe the claimant, the relevant transaction or service, the facts, and the requested relief and must be sent to the notice address in Section 27. The recipient will have 30 days to respond before either party initiates arbitration or an eligible small-claims action.
Except for an eligible individual action in small-claims court or a request for temporary injunctive relief concerning security, unauthorized access, or intellectual-property rights, any dispute arising from these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under the applicable AAA Consumer Arbitration Rules or Commercial Arbitration Rules, as determined by those rules.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement. Arbitration may occur by video, telephone, document submission, or at a reasonably accessible location as permitted by the applicable rules. The arbitrator may award the same individual remedies available in court but may not consolidate unrelated claims or preside over a class or representative proceeding.
NO CLASS ACTIONS OR JURY TRIALS. TO THE FULLEST EXTENT PERMITTED BY LAW, DISPUTES MUST BE BROUGHT INDIVIDUALLY. YOU AND NFTIX WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION.
You may opt out of this arbitration agreement by sending a signed written notice to the legal-notice address in Section 27 within 30 days after you first accept these Terms. The notice must include your name, contact information, and a clear statement that you opt out of arbitration. Opting out does not affect the remainder of these Terms.
If a court determines that a particular claim or remedy cannot lawfully be arbitrated or subjected to the class waiver, only that claim or remedy may proceed in court after all arbitrable matters are completed.
24. Governing Law and Venue
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles, except that the Federal Arbitration Act governs Section 23.
For a dispute not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts serving Buncombe County, North Carolina, unless applicable consumer law requires a different forum.
25. Changes to These Terms
NFTIX may update these Terms to reflect changes in law, products, third-party requirements, security, or business practices. Updated Terms will be posted with a revised date.
Material changes will apply prospectively after reasonable notice where required. Changes to dispute terms will not retroactively alter a dispute of which NFTIX had actual written notice before the change.
Continued use after the effective date of updated Terms constitutes acceptance where permitted by law. If you do not agree, you must stop using the affected Services.
26. Miscellaneous
These Terms and incorporated policies are the entire agreement concerning their subject matter, except for a separate written agreement between NFTIX and a Client.
If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without NFTIX’s written consent. NFTIX may assign them in connection with a merger, reorganization, financing, asset transfer, or by operation of law.
Headings are for convenience only. Electronic notices and acceptance have the same effect as written communications and signatures to the extent permitted by law.
